Position Description:

The Counsel, M&A is a crucial member of a small team within Corning’s Law Department that is responsible for providing legal guidance and executing on a wide variety of business and strategic transactions, such as mergers, acquisitions, divestitures, corporate partnerships, venture capital and other minority investments and joint ventures. In this role, you will conduct and manage legal due diligence, negotiate and draft transaction documents, advise on deal structure and key legal considerations, and direct outside counsel.

 

Day to Day Responsibilities:

  • Work closely with the Director, Law—M&A and other members of Corning’s Law Department to provide legal advice and services to support a wide range of domestic and cross-border M&A and other strategic transactions, including buy-side, sell-side, private and public transactions.
  • Responsible for legal strategy, negotiation, and advice on M&A and other strategic transactions.
  • Review and advise on structural, corporate and legal issues pertaining to acquisitions, divestitures, strategic alliances, venture capital investments, spin-offs and tender offers.
  • Collaborate with stakeholders across multiple functions (e.g., Corporate Development, Finance, Treasury, Technology, and business units) on complex transactions impacting many areas of the organization.
  • Conduct and manage due diligence activities and use relevant information to develop legal strategies and ensure appropriate contract terms.
  • Provide legal advice to support integrating acquired businesses and separating divested businesses.
  • Develop, maintain, and update standard forms, guidance and processes in response to changing markets, business needs and best practices.
  • Retain and manage outside counsel on legal matters, as needed.

 

Travel Requirements:

  • Up to 10 – 15%, primarily domestic

 

Required Experience/Education/Skills:

  • Strategic, business-focused, practical and emotionally intelligent adviser with expertise in M&A, capital markets, and commercial transactions.
  • Experience drafting, reviewing, and supporting negotiation of deal-related legal documentation (e.g., purchase agreements, ancillary agreements, NDAs).
  • Demonstrated ability to effectively navigate diverse perspectives and problem-solve in a global, multicultural, highly matrixed organization.
  • Exceptional at communicating complex ideas and practical advice both in writing and orally • Strong judgment and the ability to collaborate with, lead, and motivate team members.
  • Experience reviewing the work of outside counsel and/or other legal team members.
  • 4+ years of experience as a practicing attorney, either with a law firm or in a corporation with M&A and transactional experience.

 

Other Desired Skills and Experience:

  • Experience managing elements of large cross-functional projects.
  • Experience interacting with senior business leaders, delivering communications/presentations, and contributing to business discussions and decision making.
  • Strong working knowledge of intellectual property law, commercial law and basic finance and accounting.
  • Demonstrates consistent success working with partners across other divisions, geographies, and/or functions.
