Role Purpose
The Division Counsel will function within the Commercial and International Center of Excellence within Corning’s Law Department, which is responsible for providing collaborative legal support for Corning’s business units to promote Corning’s global business interests while mitigating legal and business risk. The attorney will serve as the primary commercial legal counsel for Corning’s Advanced Optics (AO) division and will report to the Senior Division Counsel, Mobile Consumer Electronics. The attorney is expected to provide broad-based legal support to the AO division including with respect to commercial & transactional strategy and negotiations, contract drafting, business counseling and risk mitigation.
Key Responsibilities
- Provide day-to-day commercial legal support through business-focused counseling as a trusted partner to the AO business leadership, strategy team, and commercial organization
- Negotiate, review, and draft domestic and international sales agreements, supply agreements, service agreements, development agreements, incentive arrangements, and other commercial legal documentation; advise on Corning’s legal rights and obligations under such arrangements
- Counsel commercial, strategy, and government affairs professionals on highly regulated matters, such as aerospace and defense contracts, semiconductor manufacturing, and government incentives
- Identify business and legal risks and provide practical and thoughtful solutions and strategic advice to facilitate business success while navigating applicable laws, rules and regulations; apply judgment to escalate issues to the appropriate commercial, regional, or COE contacts within the Law Department
- Coordinate closely with business units, corporate staff functions, intellectual property attorneys, and other international and domestic Law Department team members to provide integrated and comprehensive legal guidance and support
- Actively participate on AO business leadership team and day-to-day engagement and support of AO leadership
- Works with AO leadership to manage legal activities impacting the division globally, in collaboration with region-based counsels and Law Department support functions (e.g., IP, Litigation, Compliance, L&E)
- Leads escalation of higher risk matters and aligns recommendations with the Senior Division Counsel and division leadership
- Effectively and efficiently manage outside counsel support
Experiences/Education - Required
- J.D. from an ABA accredited law school
- Applicable bar admission
- 7+ years combined experience as a practicing attorney at one or more top law firms, U.S. government agencies and / or in-house legal departments.
Experiences/Education - Desired
- Experience with contracting in support of complex commercial transaction, intellectual property licensing, and / or U.S. Government programs is preferred.
- Excellent attention to detail and organizational skills, with the ability to manage multiple competing priorities simultaneously and adjust smoothly as the situation demands
- Demonstrated ability to structure, draft, and negotiate complex commercial arrangements
- Excellent written and oral communication skills, including effectively communicating legal issues and solutions in a clear and concise manner to a wide variety of audiences
- Ability to provide timely accurate and pragmatic advice
- Strategic and confident decision making, including sound judgment on escalation and stakeholder engagement
- Ability to collaborate and coordinate efficiently in an international, cross-functional team environment
- Ability to cultivate and maintain trusted business relationships

The range for this position is $188,128.00 - $258,676.00 assuming full time status. Starting pay for the successful applicant is dependent on a variety of job-related factors, including but not limited to geographic location, market demands, experience, training, and education.
