The global Information Technology (IT) Function is leading efforts to align IT and Business Strategy, leverage IT investments, and optimize end to end business processes and associated information integration technologies.  Through these efforts, IT helps to improve the competitive position of Corning's businesses through IT enabled processes.  IT also delivers Information Technology applications, infrastructure, and project services in a cost efficient manner to Corning worldwide.

Role Purpose

This position will serve as Senior Managing Counsel supporting Corning’s Digital & Information Technology organization. The chosen candidate will provide legal counsel and support on a variety of legal matters, all relating to Corning’s information technology structure, capabilities, and cybersecurity matters. The scope of activities is broad, including providing advice and counsel to the company’s Chief Digital & Information Officer (CDIO) and the company’s Chief Information Security Officer (CISO), development of policies and procedures concerning integration and deployment of AI capabilities across the organization globally, all manner of cybersecurity-related topics (e.g., incident response, regulatory compliance, etc.), and drafting, negotiation, interpretation and review of Information Technology-related agreements (e.g., hardware, software, and service arrangements). The position will report to Corning’s Vice President and Chief Compliance Officer within Corning’s Law Department. The chosen candidate will be a member of the leadership team of the company’s CDIO. This chosen candidate will need to interact with other lawyers in Corning’s Law Department on all manner of IT-related matters, including region-based colleagues and lawyers who support activities provided by other Centers of Excellence (COEs) within the Law Department, e.g., M&A, Litigation (particularly the e-discovery operations), Compliance (particularly the Data Privacy Office), and Intellectual Property.
 

Key Responsibilities

Counseling

  • Provide business and legal counsel to personnel in Corning’s Digital & Information Technology community, including the company’s CDIO, CSIO, and their direct reports.
  • Serve as a member of the company’s Chief Digital & Information Officer leadership team.
  • Provide advice and counsel on a comprehensive range of digital and information technology initiatives.
  • Provide guidance and counsel relating to information security incidents, including development and implementation of information security policies, and event and incident response plans.
  • Provide support and assistance to IT leadership on interactions with the IT Committee of Corning’s Board of Directors
  • Advise the company’s IT Risk sub-council on IT-related issues, e.g., DOJ’s ephemeral messaging guidelines, China’s cyber security regulations/requirements, etc.
  • Advise on legal aspects associated with the company’s AI-related activities (development and deployment of capabilities), including data governance, algorithmic transparency, and compliance with relevant laws/regulations (US Executive order on AI; NIST AI Framework; EU AI Act, etc.). Collaborate with the leadership team of the company’s AI ML Governance Council to assess and manage legal risks associated with AI deployment by the company.
  • Oversee the company’s Open Source licensing policy and counsel on any issues associated with the use or modification of Open Source software.
  • Coordinate with the company’s Data Privacy Office to ensure compliance with the collection, management, processing, and storage of personal data.

Additional Responsibilities

Transaction Support

  • Negotiate a wide variety of complex information technology-related agreements (e.g., managed services, cloud hosting, artificial intelligence, SAAS, PAAS, licenses, etc.) including those where the company (or its subsidiary) is leasing, procuring or licensing the hardware, service, capability, or software.
  • Support IT contracting efforts and develop improvements in the process, e.g., building out IT approval matrix and information security review process, and templates, e.g. standard information security, time bomb, AI and Business email compromise clauses/templates, all in collaboration with relevant stakeholder groups.
  • Support and counsel in relation to any software development efforts taking place across the enterprise, in coordination with the Intellectual Property COE within the company’s Law Department and advising on related third-party development agreements.

 

Management

  • Manage personnel dedicated to the review and approval of EULA/IT related agreements and IT related NDAs.
  • Coordinate and manage legal matters handled by outside counsel, internal regional/divisional counsel, and other internal subject matter experts (e.g., Intellectual Property and Litigation counsel) on Digital & Information Technology issues, e.g., software escrow agreement requirements, contractual obligations related to compliance with a customer’s information security standards, ensuring IT practices meet the corporation’s e-discovery obligations, etc. 

Experiences/Education - Required

  • Strong knowledge of laws, regulations, and best practices related to IT, AI, and cyber security, including data protection, privacy, and intellectual property.
  • Proven experience in negotiating and drafting technology agreements, including software licenses, SaaS agreements, and technology development contracts.
  • Ability to function independently under general guidelines and defined goals but with the judgment to know when and how to escalate issues.
  • Experience with cybersecurity matters, including prior incidents.
  • Demonstrated ability to analyze complex legal issues, provide practical advice, and develop solutions that balance legal and business considerations.
  • Interest in business matters and strategic thinking.
  • Strong analytical skills and experience applying independent judgment and creativity in drafting, negotiating, and concluding contracts.
  • Excellent written and verbal communication skills, with the ability to effectively communicate complex legal concepts to legal and non-legal stakeholders.
  • A solid understanding of various information technology platforms and cyber security techniques.
  • Familiarity with AI ethics principles and frameworks, and an understanding of the legal and ethical implications of AI technologies with the ability to advise issues of first impression involving AI.
  • Informed of current laws, regulations and developments.
  • Ability to perform in a team environment and individually.

 

Experiences/Education - Desired

  • Juris Doctor (JD) degree from an accredited law school and admission to the bar in the relevant jurisdiction.+
  • Minimum of 12 - 15 years of experience, including significant experience at a reputable law firm and, ideally, in-house experience specializing in technology, IT, AI, and cyber security-related matters.
  • Substantial transactional experience, with demonstrated expertise in negotiating and drafting high-value and complex technology agreements.
  • Experience in a senior legal role in a multinational corporation with exposure to international legal/regulatory requirements.

Travel: 10%, estimated at once per quarter

The range for this position is $227,914.00 - $313,382.00 assuming full time status. Starting pay for the successful applicant is dependent on a variety of job-related factors, including but not limited to geographic location, market demands, experience, training, and education. The benefits available for this position are dependent on hours worked and may include medical, dental, vision, 401(k) plan, pension plan, life insurance coverage, disability benefits, and PTO.
