Role Purpose
The Division Counsel will serve as the primary commercial legal counsel for Corning’s Life Sciences (CLS) division, based in Tewksbury, MA, that provides products and solutions for the global biotechnology, pharmaceutical, academic, and industrial research markets. The attorney will work closely with the division’s General Manager and leadership team to manage legal activities across the division around the globe, in collaboration with region-based counsels and support functions within the Law Department including M&A, Intellectual Property, Litigation, Compliance, and Labor & Employment. The attorney will provide comprehensive legal support to CLS, including with respect to commercial and transactional strategy and negotiations, contract drafting, business counseling and risk mitigation. The attorney will be an integral member of the CLS leadership team as well as the Law Department’s Commercial & International Law Center of Excellence and will report to a Senior Division Counsel based in Corning’s headquarters in Corning, NY.
Key Responsibilities
- Manage all legal activities pertaining to CLS across its multiple regions, including general corporate and commercial legal services to in-house clients
- Draft, negotiate, interpret, and enforce a variety of commercial contracts (supply, distributorship, purchase agreements, etc.)
- Act as trusted advisor on legal issues including those relating to contract compliance, government affairs, regulatory compliance, strategic transactions, and litigation matters.
- Coordinate closely with business units, corporate staff functions, intellectual property attorneys, and other Law Department team members to provide integrated and comprehensive legal guidance and support
- Deliver legal training and assist with the implementation and monitoring of Corning’s corporate policies, including compliance programs
- Actively participate on CLS leadership team
- Leads escalation of higher-risk matters and aligns recommendations with the Senior Division Counsel and division leadership
- Work closely with the division’s Quality and Regulatory organization to ensure product safety, efficacy and compliance with relevant standards and regulations
- Effectively and efficiently manage outside counsel support
Experiences/Education - Required
- J.D. from an ABA accredited law school
- Applicable bar admission
- 7+ years combined experience as a practicing attorney at one or more top law firms, U.S. government agencies, and/or in-house legal departments
Experiences/Education - Desired
- Life sciences experience preferred
- Excellent attention to detail and organizational skills, with the ability to manage multiple competing priorities simultaneously
- Ability to structure, draft, and negotiate complex commercial arrangements
- Excellent written and oral communication skills, with the ability to explain legal concepts to non-lawyers
- Ability to provide timely, accurate, and pragmatic advice
- Strategic and confident decision making
- Ability to collaborate and coordinate efficiently in an international, cross-functional team environment
- Ability to cultivate and maintain trusted business relationships
- Flexible and able to adapt to changing work environments
- Ability to balance legal risk against business opportunity

The range for this position is $188,128.00 - $258,676.00 assuming full time status. Starting pay for the successful applicant is dependent on a variety of job-related factors, including but not limited to geographic location, market demands, experience, training, and education.
